1. About these terms

These Terms of Use govern your use of the website at firstlocal.studio and any tools purchased from FirstLocal Studio. By purchasing or using any FirstLocal tool, you agree to these terms.

If you do not agree, do not use the site or purchase the tools.

2. What you are purchasing

FirstLocal tools are digital products delivered as standalone HTML files. When you purchase a tool, you receive a personal, non-exclusive, non-transferable licence to use that tool for your own personal or professional work.

Your purchase gives you:

• A single-user licence to use the tool on your own devices
• Access to the current version of the file at the time of purchase
• Free bug fixes and minor updates where applicable
• The right to use the tool indefinitely — there is no expiry

Your purchase does not give you:

• The right to resell, redistribute, or share the file with others
• The right to sublicence, rent, or lease the tool
• Ownership of the underlying code or intellectual property
• The right to remove copyright notices or branding from the tool

3. Payments and checkout

All purchases are currently processed through Gumroad. By completing a purchase, you also agree to Gumroad’s Terms of Service. FirstLocal Studio does not store or process your payment card details — all payment handling is managed by Gumroad.

Prices are listed in USD. We reserve the right to change prices for new purchases at any time. Price changes do not affect existing purchases.

4. Refund policy

Because our products are digital files that are delivered immediately upon purchase, refunds are handled on a per-product basis. The refund window for each tool is listed on its product page.

To request a refund within the applicable window, email hello@firstlocal.studio with your Gumroad receipt. We do not require you to justify a refund request — if the tool genuinely does not work for your use case within the stated window, we will refund you.

Refunds are not available after the stated window has passed or if there is evidence of misuse of the refund policy.

5. Acceptable use

You may use FirstLocal tools for personal and commercial work. You may not:

• Share, sell, or distribute the tool files to anyone who has not purchased them
• Use the tools to process documents on behalf of third parties as a service without individual licences for each user
• Decompile, reverse engineer, or attempt to extract the source code for redistribution
• Use the tools in any way that violates applicable laws or regulations
• Represent our tools as your own product

FirstLocal Studio is not a law firm and does not provide legal services. Nothing produced by ClauseGuard constitutes legal advice. For contracts involving significant rights, substantial sums, or complex obligations, consult a qualified attorney before signing.

ClauseGuard may not detect every problematic clause, and it may flag clauses that are standard or benign in your specific context. Use it as a first-pass review tool, not a final determination.

7. No warranty

FirstLocal tools are provided “as is” without warranty of any kind, express or implied. We do not warrant that the tools will be error-free, uninterrupted, or suitable for any particular purpose.

We make reasonable efforts to ensure the tools function as described. If you encounter a bug or malfunction, contact us at hello@firstlocal.studio and we will work to resolve it.

8. Limitation of liability

To the fullest extent permitted by applicable law, FirstLocal Studio shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of our tools or website — including but not limited to loss of data, lost profits, or damages resulting from reliance on tool output.

Our total liability for any claim arising from a purchase shall not exceed the amount you paid for the relevant product.

9. Intellectual property

All FirstLocal tools, website content, copy, and design are the intellectual property of FirstLocal Studio. Purchasing a tool grants you a licence to use it — it does not transfer ownership of any intellectual property.

The FirstLocal Studio name, logo, and product names are trademarks of FirstLocal Studio and may not be used without written permission.

10. Website use

Use of the firstlocal.studio website is permitted for the purpose of browsing, purchasing tools, and accessing documentation. You may not use the site in any way that could damage, disable, overburden, or impair it, or interfere with any other user’s use of the site.

11. Changes to these terms

We may update these terms from time to time. When we do, we will update the effective date at the top of this page. Material changes — particularly those affecting your rights as a buyer — will be communicated via email to existing customers where possible.

Continued use of the site or tools after changes are posted constitutes acceptance of the updated terms.

12. Governing law

These terms are governed by applicable law. Any disputes shall be resolved through good-faith negotiation in the first instance. If you have a concern, please contact us before pursuing any formal action — we would rather resolve it directly.
